Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Mohor.dev platform, API, and related services (collectively, the "Service") operated by Mohor.dev ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or otherwise using the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Mohor.dev provides a developer-first eSignature API platform, including webhook delivery infrastructure, PDF processing and flattening, a drop-in web signing component, and supporting developer tools and documentation. The Service is provided on a subscription or pay-as-you-go basis as described on our pricing page.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account.

You must notify us immediately at support@mohor.dev if you suspect any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Send, collect, or process documents containing forged, fraudulent, or deceptive signatures.
  • Infringe upon the intellectual property rights of any third party.
  • Transmit any material that is harmful, offensive, obscene, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, its related systems, or other users' accounts.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service.
  • Resell, sublicense, or otherwise transfer access to the Service without our prior written consent.
  • Use the Service in any manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.

5. API Usage and Rate Limits

Use of the Mohor.dev API is subject to rate limits and usage quotas associated with your account plan. We reserve the right to enforce rate limits, throttle, or suspend API access if usage exceeds your plan limits or places excessive load on our infrastructure.

API keys are personal credentials. You must not share your API keys publicly or embed them in client-side code. We are not responsible for charges resulting from unauthorized use of exposed API keys.

6. Fees and Payment

Certain features of the Service are offered on a paid basis. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are exclusive of applicable taxes, which are your responsibility. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to change our pricing at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Mohor.dev and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of all documents and data you submit to the Service. By submitting content to the Service, you grant us a limited, non-exclusive, royalty-free license to process that content solely for the purpose of providing the Service to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

Data Protection Compliance

We process personal data in compliance with India's Digital Personal Data Protection (DPDP) Act. By using the Service to process documents containing personal data, you acknowledge that you are the Data Fiduciary (or Data Controller) and Mohor.dev acts solely as a Data Processor on your behalf. You are responsible for ensuring that you have obtained all necessary consents from your end-users as required by the DPDP Act before transmitting their data to our Service.

9. Data Retention

To facilitate our Service, we temporarily store the documents you submit via the API. Processed documents and their associated data payloads are automatically permanently deleted from our servers thirty (30) days after processing. However, cryptographic signature certificates associated with your processed documents will remain accessible and can be generated for as long as you maintain a valid, active account with Mohor.dev. Upon account termination, your ability to generate these certificates will immediately cease.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Electronic Signatures and Legal Enforceability

Mohor.dev PROVIDES A TECHNOLOGICAL PLATFORM TO FACILITATE ELECTRONIC SIGNATURES AND DOCUMENT PROCESSING. WE DO NOT PROVIDE LEGAL ADVICE, NOR DO WE GUARANTEE THAT ANY DOCUMENT SIGNED USING OUR SERVICE IS LEGALLY BINDING, VALID, OR ENFORCEABLE IN YOUR SPECIFIC JURISDICTION OR FOR YOUR SPECIFIC USE CASE. CERTAIN TYPES OF DOCUMENTS (SUCH AS WILLS, FAMILY LAW DOCUMENTS, OR REAL ESTATE TRANSFERS) MAY BE EXEMPT FROM ELECTRONIC SIGNATURE LAWS. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER AN ELECTRONIC SIGNATURE IS APPROPRIATE AND LEGALLY VALID FOR YOUR DOCUMENTS UNDER APPLICABLE LAWS.

No Service Level Agreement (SLA)

UNLESS EXPRESSLY AGREED UPON IN A SEPARATE, WRITTEN ENTERPRISE CONTRACT, Mohor.dev DOES NOT OFFER A SERVICE LEVEL AGREEMENT (SLA) OR GUARANTEE ANY SPECIFIC UPTIME, RESPONSE TIMES, OR API AVAILABILITY METRICS. THE SERVICE MAY EXPERIENCE INTERRUPTIONS, DELAYS, OR OTHER ISSUES DUE TO MAINTENANCE, UPGRADES, OR UNFORESEEN CIRCUMSTANCES. WE WILL USE REASONABLE EFFORTS TO MINIMIZE DISRUPTIONS AND MAINTAIN THE SERVICE, BUT WE DISCLAIM ANY LIABILITY FOR SERVICE INTERRUPTIONS OR PERFORMANCE ISSUES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOHOR.DEV, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO MOHOR.DEV IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mohor.dev and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability. All data associated with your account will be permanently deleted thirty (30) days after account termination, except for cryptographic signature certificates which will become inaccessible immediately upon termination.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page and, where appropriate, by email notification. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Guwahati, Assam, India.
